US antitrust regulators approve merger of DuPont and Dow

Two of the new companies, which will focus on agriculture and specialty products, will be headquartered in DE, while a third, material sciences business, will have headquarters in Dow's hometown of Midland, Michigan.

Chemical companies DuPont and the Dow Chemical Company have reached a proposed agreement with the US Department of Justice (DOJ) Antitrust Division that will enable the firms to advance the proposed merger of equals.

Dow and DuPont announced the deal in December 2015 in what was billed as an all-stock merger valued at $130 billion. The DOJ claims that these two products alone have USA sales of over $100 million, and their sale would preserve competition in US markets for broadleaf herbicides for winter wheat and insecticides for chewing pests. According to the union, farmers would face higher costs from the deal. Dow will therefore sell its global Ethylene Acrylic Acid copolymers and ionomers business.

For instance, Dow makes plastics of every type and a wide range of chemicals, used for everything from pesticides to paint, while DuPont dabbles in inventing materials like Lycra and Tyvek, and focusing on agriculture, including genetically modified crops; biofuels and increased-efficiency products; and continuing their "advanced materials" research.

Canada's antitrust department only gives public statements once a month but did confirm that it is reviewing the deal.

In addition to Dow and DuPont merger deal, Bayer has a deal to buy Monsanto, and ChemChina is purchasing Syngenta. The companies are continuing to work through additional jurisdictions to gain clearance for the merger.

In a joint statement, Dow and DuPont say they expect the merger to be finalized this August.
